Shanghai Diesel Engine Co., Ltd. 2011 Annual General Meeting of Shareholders was held on May 18, 2012. A total of 46 shareholders and shareholders attended the meeting. The meeting elected Xiao Guopu, Gu Feng, Cheng Jinglei, Gu Qing, Wang Xiaoqiu, and Jiang Baoxin as non-independent directors of the 7th Board of Shanghai Diesel Engines, and elected Ouyang Minggao, Yan Yiming, and Chen Wenhao as independent directors of the company's seventh board of directors and elected Zhou Lang. Hui Hui and Zhu Xian are non-employee representative supervisors of Shanghai Seventh Board of Supervisors. Mr. Shi Yimeng was elected as the employee representative supervisor of the 7th Supervisory Committee by the joint meeting of the staff congress held earlier.

After the general meeting of shareholders, at the 7th meeting of the board of directors of the company and the 7th meeting of the board of supervisors, Shangchai reviewed and passed the “Proposal on Electing the Chairman of the 7th Board of Directors of the Company”, “Proposal on Engaging the General Manager of the Company”, and “About Election of the Chairman of the Seventh Supervisory Committee's Motion and other related proposals. After deliberation, Mr. Xiao Guopu was elected as the chairman of the seventh board of Shangchai; Mr. Zhou Langhui was elected as the chairman of the seventh supervisory board of Shangchai. The board of directors of the company appointed Mr. Wang Xiaoqiu as the general manager of Shangchai; appointed Mr. Jingang, Zhu Jiankang, and Mr. Qian Jun as deputy general managers; hired Mr. Jiang Baoxin as the chief financial officer; and appointed Mr. Wang Hongbin as the secretary of the board of directors; their term of office was the same as that of the seventh session of the Board of Directors.
